Vinci signs agreement to acquire ACS industrial division

Vinci has signed a binding purchase agreement to acquire the majority of the ACS Group’s Industrial Division. The scope of the transaction includes, in addition to activities involving engineering and works, shares in eight concessions, or PPP of mainly energy projects, as well as the development platform for new projects in the renewable energy sector. ACS will retain Zero-e and 15 concessions, which will be carved out before the completion of the sale. 

The agreed consideration of the transaction is distributed as follows:

  • Upon completion of the sale, ACS will receive a minimum of EUR 4.93 billion (US$ 5.90 billion) and a maximum of EUR 4.98 billion (US$  billion). This figure consists of a fixed amount of EUR 4.2 billion (US$ 5.96 billion) plus an additional payment of at least EUR 730 million (US$ 874.5 million) and a maximum of EUR 780 million (US$ 934.4 million), as compensation for the company’s cash.
  • Maximum variable payment of EUR 600 million (US$ 718.79 million) in cash of EUR 20 million (US$ 23.95 million) for every half GW developed by the Industrial Division (until ready-to-build status) between 31 March 2021 and up to seven years.
