IFM increases offer for acquisition of up to 9.99% shares of Flughafen Wien

Airports Group Europe, an indirect subsidiary of IFM Global Infrastructure Fund (IFM GIF), has announced an increase in the offer price and other adjustments to acquire up to approximately 9.99% of the total shares of Flughafen Wien AG.

The amendments to the proposal are the following:

  • Increase in the offer to EUR34,000 (US%32,000) per share;
  • Extension of the deadline for fulfillment of suspensive conditions in accordance with the proposal until May 31, 2023;
  • Offer acceptance period extension: Flughafen Wien AG may accept the offer within 10 business days, starting on the 2nd trading day following the publication by Airports Group Europe that the terms are in effect;
  • Ability to sell shares of Flughafen Wien AG from the 6th trading day after the end of the acceptance period (14 October 2022) until the 3rd trading day before Settlement.

Nomura acts as financial advisor to Airports Group Europe and E+H Rechtsanwälte GmbH as Austrian legal advisor. Share offers are accepted in Austria, the USA and Relevant Persons in the UK.
