DIF Capital Partners (DIF) has signed an agreement to sell its 33.3% stake in Northwest Parkway (NWP) to VINCI Highways, a subsidiary of VINCI Concessions in Denver, Colorado, USA.
The NWP is a 14 km toll road situated in Denver, Colorado, USA. Initially built in 2003, NWP encompasses the northwest quadrant of the Denver Metropolitan area beltway. With various functions, the road is a crucial link connecting Northwest Denver to Denver International Airport. DIF acquired the road in 2017 through its DIF Infrastructure IV (DIF IV) fund, along with co-investors and consortium members.
DIF, along with co-shareholders HICL Infrastructure PLC and funds managed by Northleaf Capital Partners, is collectively selling its stake in the toll road, constituting 100% of the equity interest in the project. Evercore (financial), Kirkland & Ellis (legal), C&M (traffic & revenue), KPMG (accounting & tax), and Arup (technical) provided advisory services for the transaction. The completion of the transaction is contingent on standard conditions and approvals, with the anticipated closing in Q2 2024.
