Arcus Infrastructure Partners LLP (Arcus) has announced that Arcus European Infrastructure Fund 3 SCSp (AEIF3) has acquired Officium Holding GmbH (Officium) through EMERAM.
Officium GmbH is a submetering and energy service provider for consumption-based metering and billing of water and heat for the housing industry in Germany. Officium also owns a portfolio of over one million meters and operates in a resilient sector that benefits from non-cyclical demand and exposure to inflation. Officium submeters allow billing based on individual consumption, allowing people to better track and control their internal energy consumption. Through the acquisition, Arcus will provide experience in the metering and submetering sector to Officium to support the company's continued development and growth.
Chatham Partners acted as an advisor for Arcus (legal), Roland Berger - as a commercial and regulatory advisor, DNV - as technical, Alvarez & Marsal - as an operational, IT, financial and tax, and AON - as an insurance advisor. EmLab advised Arcus on the employment law questions of the transaction and IP/IT issues were handled by KNPZ. EMERAM was advised by Noerr (legal) and ING-Bank (M&A).
